Our Bylaws

Name 

The name of the Foundation is Our Commons Foundation

Purpose 

§ 1

The purpose of the Foundation is to contribute to securing the future of our planet for future generations, promoting sustainable initiatives, educating and informing the public, and influencing decision-makers to accelerate the transition to a sustainable society.

The purpose of the Foundation may be fulfilled by, but is not limited to, facilitating the availability of sustainability information, directly developing or supporting projects for the development of technical tools to be used for the promotion of the purposes, or directly conducting activities that promote the purposes, or by providing financial support to beneficiaries or other recipients who in turn promote the purposes. To fulfill the purposes, the Foundation may establish its own operational organization to directly carry out or support such activities aimed at implementation.

The Foundation is a Swedish legal entity subject to supervision by the authorities under Swedish law, and shall operate in accordance with Swedish legislation to promote its purpose and be of public benefit, pursuant to Chapter 7, Section 4 of the Income Tax Act, fulfilling the Operational Requirement under Chapter 7, Section 5 of the Income Tax Act, and the Continuation Requirement under Chapter 7, Section 6 of the Income Tax Act.

Activities

§ 2

The Foundation's activities are conducted through education, campaigns, events, and other activities that promote sustainable development and climate measures. The Foundation conducts its activities internationally in accordance with its purpose and applicable laws and regulations.

The Foundation shall conduct its activities with the funds provided by the founders at the establishment of the Foundation and with any additional funds obtained through fundraising, donations, and contributions or otherwise.

If the board deems it appropriate, decisions may be made to establish its own operational organization that conducts activities consistent with the Foundation's purpose.

Board

§ 3

The Foundation consists of a chairman and at least two and at most five members.

The board shall be elected by the Foundation's founders and shall have overall responsibility for the Foundation's operations, affairs, and management.

The board shall meet regularly and make decisions in accordance with these bylaws and applicable legislation. Upon request of a board member or auditor, the board shall convene.

The board is quorate when at least half of the board members are present.

A decision of the board is valid when more than half of those present vote for it or, in the case of a tie, the one supported by the chairman.

Registered Office

§ 4

The Foundation's registered office is established in Stockholm.

Financial Year

The Foundation's financial year shall be the calendar year.

Audit

§ 5

The Foundation's accounts and management shall be audited annually by an auditor, who shall annually report on their audit. The auditor shall be appointed by the board for a term of one year with the possibility of re-election.


Finance and Management

§ 6

The Foundation shall have financial management ensuring that its resources are used appropriately and responsibly.

The Foundation may receive donations, gifts, contributions, and other forms of financial support from individuals, organizations, companies, or public institutions.

The Foundation shall use its financial resources to fulfill its purpose and to conduct its activities in accordance with these bylaws and applicable laws and regulations.

Supervision

§ 7

The Foundation shall be under the supervision of the County Administrative Board in Stockholm in accordance with the rules of the Foundations Act.

Amendment of Bylaws

§ 8

Decisions to amend these bylaws or to dissolve the Foundation are not valid unless the decision is made at two consecutive board meetings.

Amendments to § 1 may not be made to substantially deviate from the purposes established therein.

Dissolution

§ 9

A decision to dissolve the Foundation shall be made by the Foundation's board and shall require support from applicable legislation.

Upon dissolution of the Foundation, its assets shall be used to promote the purposes set forth in these bylaws or donated to other organizations with similar purposes, as determined by the Foundation's board and supported by applicable legislation.

These bylaws were adopted at the establishment of the Foundation on May 2, 2024.
